TERMS & CONDITIONS OF SALE

1. Telephoned Orders All such orders will be construed and carried out in accordance with verbal instructions but no liability can be accepted for any inconsistency between these and any written confirmation we may subsequently receive from the buyer.

2. Prices 2.1 We reserve the right to revise prices and discounts without prior notice. 2.2 All prices quoted on the website are exclusive of VAT

3. Terms of Payment 3.1 We do not offer credit facilities or accounts. 3.2 We accept payment via BACS, CHAPS, Cheque and all major credit / debit cards (excluding American Express and Amex). 3.3 Payments by cheque will require 6 working days clearance before goods are dispatched. Please make cheques payable to Sound Solution Ltd.

4. Cancellation 4.1 Orders or contracts may not be cancelled except with our consent in writing and subject to terms which will indemnify us against loss. 4.2 If the items ordered have already been dispatched the original delivery costs will not be refunded.

5. Carriage and Packaging Carriage and packaging is charged at our discretion by reference to freight rates in force from time to time.

6. Specification We are constantly seeking to improve our products and reserve the right to alter the design or specification of any of our products at any time without notice or liability.

7. Claims Claims in respect of delivery of the wrong products or in respect of short delivery must be notified to us within three days of receipt of the products and in any case before they are fixed, fitted or in any other way used.

8. Delivery 8.1 All dates quoted for despatch are estimates only and are not guaranteed. 8 .2 We will endeavour to meet these dates but shall have no liability for any delay in despatch or delivery or any damaged or loss occasioned thereby. 8 .3 We may deliver products pursuant to any order by installments. 8 .4 It is the customers responsibility to arrange sufficient help with off-loading any goods delivered. The chosen courier is not obliged to leave their vehicle and take the items inside the customers property. 8 .5 Only one delivery attempt will be made for each order. If delivery cannot be made due to the customer not being at the given address the customer will be charged a £25+Vat  re-delivery charge or original implied delivery costs again whichever is the greater amount.. 8.6 PALLETS: Large orders may be sent on pallets in order to keep delivery costs down. Only one delivery attempt will be made for each pallet delivered. The courier company chosen by Sound Solution Ltd has no obligation to offload the pallet unless the customer specifies an automated drop down tailgate lorry. (Contact sales for details). 8 .7 PALLETS: It is the customers responsibility at the time of placing an order to inform the sales team if the access road to the delivery address will be temporarily or in any other way restricted for this vehicles access. If this is not made clear the customer will be liable to pay the delivery costs again.

9. Loss or Damage in Transit 9 .1The products shall be at the Buyer's risk during transit unless otherwise expressly agreed by us. 9 .2 If we expressly accept responsibility for products in transit, we shall not be liable for any damage or loss in transit or shortage in delivery unless a separate notice in writing is given to both the carrier and ourselves.

9.2.1 In the case of damage within three days of receipt of the products and a complete claim in writing within five days of receipt of the products. 9 .2.2 In the event of loss of products both notice and claim must be recovered by us within 3 working days.

11. Returned Goods 10.1 Before any products are returned our verbal consent must be given. 10.2 Carriage charges on returned goods are the responsibility of the Buyer. Any goods must be returned within 14 days or credit cannot given. 10.3 Such products must be received by us in good condition suitable for re-sale before any question of credit or replacement can be considered. 10.4 A restocking fee of 30% will be charged on returned goods. 10.5 We will not accept the return of any custom made products, fabric and/or fabric covered products. 10.6 Original delivery costs will not be refunded.

11. Termination Without prejudice to any other rights which we may have we shall be entitled to terminate any contract forthwith and demand immediate payment of any amount due or acquiring to us, hereunder if the Buyer 11.1 Commits any breach thereof; or 11.2 Commits any breach of any of these terms and conditions or; 11.3 Becomes insolvent or enters into composition with or for the benefit of the Buyer's Creditors or (being a body corporate) has a Receiver or Administrator appointed over its undertaking or assets or goes into liquidation.

13. Risk and Title 13.1 We retain ownership of the products and shall be entitled to dispose of them until whichever of the following two events occurs first; 13.1.1 We have received unconditional payment in full for all the products subject to this contract and the full price of any other products supplied by us to the Buyer; or 13.1.2 Property in the products passes to a purchaser from the Buyer by way of bona fide sale at full market value. 13.2 If Payment is overdue in full or in part we may (in addition to our other rights) recover or resell the products and for that purpose we and persons authorised by us are irrevocably licensed to enter the Buyer's premises or any other premises where we believe the products to be. 13.3 Payment shall become due immediately upon the commencement of any act or proceeding in which (in our opinion) places in jeopardy our title to the products.

14. Indemnity Where any products supplied by us pursuant to these conditions are produced to the buyer's designs, plans or specifications the Buyer shall indemnify us and keep us indemnified against all actions, claims, costs, damages or losses incurred by us for the infringement or alleged infringement of any patent, registered design, trademark, copyright or similar protection in respect of the products so produced and/or as a consequence of such designs, plans or specifications proving to be defective in any way or leading to the manufacture of a defective product.

15. Fixing and Application Fixing and application of our products is the responsibility of the Buyer and is not the responsibility of ourselves. As such the efficacy of products is not guaranteed by Sound Solution as all quoted results are laboratory tested and results achieved on site may vary considerably

16. Applicable Law All rights and obligations arising in connection with the supply of our products shall be governed by the laws of England and the Buyer submits to the non-exclusive jurisdiction of the Courts of England. Your statutory rights are not affected.
